Terms and Conditions

Version 1.0 · effective 2 November 2026 · 2026-11-02

These Terms are written in English. Chinese and Vietnamese translations are provided for convenience; if there is any inconsistency, the English version prevails.

Key points
  • Your data is hosted in Australia (AWS Sydney), encrypted in transit and at rest, and AI processing runs through Amazon Bedrock within Australia. Your content is not used to train AI models.
  • In PUBLIC mode your formulas, labels, files and ingredient data are visible to all FormulaLab users. Use PRIVATE mode (Enterprise plan) for confidential information.
  • Formulas, compliance checks, label content, costings and AI output are decision-support tools only — not regulatory, legal or professional advice. A qualified person must verify everything before use.
  • FormulaLab does not guarantee that any product, formula or label complies with the Food Standards Code or any other law, or will be accepted by any authority.
  • To the extent permitted by law, our liability is limited to the fees you paid in the previous 12 months. Nothing excludes your rights under the Australian Consumer Law.

1. About these Terms

FormulaLab.ai (the “Platform”) is operated by GOTOP Healthcare Pty Ltd, Sydney NSW, Australia (“we”, “us”). These Terms form a binding agreement between us and the organisation and each user that registers for or uses the Platform (“you”).

By ticking the acceptance box when registering, or by using the Platform, you agree to these Terms on your own behalf and on behalf of the organisation you represent, and you confirm you are authorised to do so. If you do not agree, do not use the Platform.

2. Business use and accounts

The Platform is provided for business use by food and nutrition manufacturers, brand owners and their advisers. You must give accurate registration details, keep your password confidential and tell us promptly at contact@formulalab.ai of any unauthorised use.

The account owner is responsible for all activity of users invited to its organisation, for choosing the right plan and data mode, and for removing users who no longer need access.

3. Plans, trial, AI usage allowances and fees

Plans, user limits, data modes and AI usage allowances are described on the Platform and may be changed by us with notice. The Trial plan is valid for 7 days. Each plan includes an AI usage allowance per period, measured by the cost of AI processing; when it is used up, AI features pause until the next period or an upgrade.

Prices are in Australian dollars and include GST unless stated otherwise. Paid plans are billed monthly in advance once billing is enabled; upgrades may require payment confirmation before activation. Fees are non-refundable except where required by law.

4. Your content

You retain ownership of the formulas, labels, documents, data and other material you upload or create (“Your Content”). You grant us a non-exclusive licence to host, copy, process, analyse and display Your Content as needed to provide, secure and improve the Platform.

You warrant that you have the right to upload Your Content, including any third-party labels or documents, and that doing so does not breach any confidentiality obligation, intellectual property right or law. You are solely responsible for Your Content and its accuracy.

5. PUBLIC and PRIVATE modes

PUBLIC mode is the default for Trial, Lite and Standard plans. In PUBLIC mode, projects, formulas, labels, analysed products, ingredient records and uploaded files may be viewed and copied by other users of the Platform, and you grant each of them a licence to use that content for their own formulation work.

PRIVATE mode (Enterprise plan) limits visibility to users in your organisation. Content created while in PUBLIC mode may already have been viewed or copied by others and cannot be recalled. Do not upload confidential information unless PRIVATE mode is enabled.

6. Data security and privacy

Data is stored in Amazon Web Services data centres in Sydney, Australia. We use encryption in transit (TLS) and at rest, isolated databases without public network access, role-based access controls, origin protection and audit logging. Databases are backed up automatically and backups are retained for 14 days.

AI features are processed by Amazon Bedrock (Anthropic Claude models) using Australian data residency. Under our providers’ terms, your inputs and outputs are not used to train their models. Only authorised personnel may access Your Content, and only to provide support, maintain security or comply with law.

We handle personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. If we become aware of an eligible data breach affecting you, we will notify you and the regulator as required by the Notifiable Data Breaches scheme.

You may export your labels and data at any time. When an organisation closes its account, we delete or de-identify its content within 90 days, except where we must keep records by law. No system is completely secure; you are responsible for protecting your credentials and devices.

7. Regulatory and compliance disclaimer

The Platform is a decision-support tool. It does not provide regulatory, legal, nutritional, medical or other professional advice, and it does not replace your own regulatory, quality and technical review.

Regulatory limits, label templates and statements in the Platform are prepared from public sources such as the Australia New Zealand Food Standards Code, may be incomplete, out of date or contain transcription errors, and are marked as pending expert verification until verified. You must check the current law in every market where a product will be sold.

You are solely responsible for your products, including their formulation, safety, testing, labelling, registration, claims, manufacture and sale, and for having all formulas and labels approved by a suitably qualified person before use. We do not guarantee that any product, formula or label complies with any law or will be accepted by any regulator, customs authority, retailer or customer in Australia, New Zealand, China, Vietnam or elsewhere.

8. AI-generated content

AI features may produce output that is inaccurate, incomplete or misleading, including values read from certificates of analysis, labels and price lists. Extracted values must be checked against the source document before you rely on them. Nutrition, compliance and cost figures are calculated by the Platform’s calculation engine from the data you provide.

9. Costings and batch calculations

Costs, batch sheets and per-unit figures are estimates based on the prices, compositions and specifications you enter. They are not quotes and exclude manufacturing losses, overages, freight, duties, labour and other costs unless you include them.

10. Acceptable use

You must not: use the Platform unlawfully or to infringe others’ rights; upload malware or attempt to breach security; scrape, copy or resell the Platform or its data; reverse engineer the Platform; share accounts beyond your plan’s user limit; or upload information you have no right to share.

11. Availability and changes

We aim to keep the Platform available but do not guarantee uninterrupted or error-free service. We may change, suspend or discontinue features, perform maintenance and update regulatory data at any time.

12. Intellectual property in the Platform

All rights in the Platform, its software, calculation methods, design and our reference data remain with us and our licensors. You receive a non-transferable, non-exclusive right to use the Platform during your subscription in accordance with these Terms.

13. Warranties and the Australian Consumer Law

To the extent permitted by law, the Platform is provided “as is” and we exclude all warranties not expressly stated in these Terms. Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or other law that cannot lawfully be excluded. Where our liability for a failure to comply with such a guarantee can be limited, it is limited to supplying the services again or paying the cost of having them supplied again.

14. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect or consequential loss, or for loss of profit, revenue, data, goodwill or business opportunity, product recalls, regulatory penalties, rejected shipments or third-party claims, arising from or in connection with the Platform, however caused.

Our total aggregate liability arising from or in connection with these Terms or the Platform is limited to the fees you paid to us for the Platform in the 12 months before the event giving rise to the claim.

15. Indemnity

You indemnify us against any loss, liability, cost or claim (including reasonable legal costs) arising from your products, Your Content, your use of output from the Platform, or your breach of these Terms or any law.

16. Suspension and termination

You may stop using the Platform at any time. We may suspend or terminate access if you breach these Terms, fail to pay fees or if required by law. Sections 4 to 9 and 12 to 18 survive termination.

17. Changes to these Terms

We may update these Terms. We will tell you about material changes on the Platform or by email and may ask you to accept the updated Terms before you continue using the Platform.

18. Governing law and contact

These Terms are governed by the laws of New South Wales, Australia, and the parties submit to the courts of that State. Questions about these Terms, privacy or data security: contact@formulalab.ai.
